We employ a gauge two-form $B_{\underline{ab}} $ in place of the pseudoscalar B' to produce a version of on-shell D=4, N=4 superspace supergravity with SU(4) symmetry. The replacement is accomplished using the Chern-Simons forms associated with the six spin-1 fields of N=4 supergravity. Finally, a Green-Schwarz action is presented and the relation of the theory to the N=4, D=4 heterotic string is exhibited.
