Here we aim to give an asymptotic estimate of the counting function of the number of resonant frequencies on the purely imaginary axis for a lossy inhomogeneous medium. Basically, we extend the work of [J. Ralston, Comm. Pure Appl. Math., XXV (1972), pp. 45--61], who studied nonabsorbing inhomogeneous medium. Finally, we give a simple pole free region around the origin.
