1997年に独占禁止法が改正され,純粋持株会社が50年ぶりに解禁された。純粋持株会社も含めた組織改革に関する議論が数多くなされている。本研究では上場製造業企業を対象に質問票調査を行い,176社から回答を得た。それによると,約7割の企業が何らかの形で事業部門制の組織構造をもっており,組織改革も積極的に行われていた。また純粋持株会社に対する期待,関心も高く,約7割の企業が何らかの関心を示しているが,実際に検討段階に入っている企業は15%程度にとどまっている。企業が実際に検討段階に入れない要因として最も大きいものは連結納税制度の未整備であるが,その他にカンパニー制など,現行の組織構造を工夫することにより,同様の効果を得られると考えている企業が多いこともある。ただ事業部制組織構造内部の意思決定システムは欧米に比べて分権化が後れており,事業部長等の意思決定権限はかなり限られたものとなっている。ヨーロッパにおいては持株会社を禁止する規定は従来からなく,持株会社は歴史的には大きな役割を果たしてきた。ただ今日においては持株会社という形態を取ること自体はあまり意味がないとされ,議論の中心は本社と各事業部がどのような関係をもって,本社が事業部をどのようにコントロールしていくかということに移っている。インタビュー調査によると,イギリスのある大企業はかなり分権化が進み,非常に小さな本社が実現されており,約5万人の従業員を約100人の本社でコントロールしている例もみられた。日本でもカンパニー制の導入により,小さな本社と分権化された組織構造を実現しようとする動きはあるが,本社と事業部の関係は手探りの状態であり,組織改革が頻繁に行われているのが現状である。純粋持株会社も含めた組織構造,特に内部の意思決定システムに関する議論を今後さらに進めていく必要がある。
