平成13年度は、当初の研究計画・方法に従い、まず、平成12年度に一応明らかにされた、本研究課題に関するわが国の現状及びアメリカの状況を十分に踏まえた上で、ヨーロッパの状況について、(ア)各国の自国企業に対する外国企業の買収やそれに関連する各国の法制度の現状がいかなるものであるのかを調査・分析し、さらに、(イ)国際間企業買収をめぐり、各国において、実際に紛争が生じた事例や外国の証券規制が域外適用された事例等について、その内容やそこで適用された法原則や紛争処理の方法等につき、調査・分析を行った。そして、以上の調査・分析を通して、ヨーロッパの現状について、これを一応明らかにした。また、以上の調査・分析にあたっては、資料収集等にあたり、主として、本研究課題に関連する図書・資料につき、所属研究機関に置かれていなかった文献で、比較的近年間に出版された新しい文献(主に、商法、国際取引法、国際通商法、国際民事訴訟法等の分野のもの)を購入することにより、調査分析や資料収集等を行った。次に、昨年度実施したわが国の現状とアメリカの状況に関する調査研究に加え、以上のヨーロッパの状況に関する調査研究を十分に踏まえた上で、収集した全文献等を詳細に検討し、比較法的研究を施した。そして、アメリカ及びヨーロッパの状況の中に、わが国の現状を改善し、外国企業によるわが国企業の買収を促進してゆく上で、有益と思われる法制度等を(特に、立法論として、わが国における国際的合併を新たに承認する点を中心として)、一応明らかにした。そこで、今後は、本研究実績を踏まえ、本研究課題に関するわが国の現状やアメリカ及びヨーロッパの状況について、さらに詳細な調査研究を施し、わが国の現状に対する示唆をさらに具体的に示すべく、調査研究を継続させてゆきたいと希望するものである。
