知的財産権や投資といった新たな通商分野をめぐる国家間関係に関して度々指摘されているのが、民間企業の影響力の拡大である。豊な実務知識や経験を得た民間企業は、政府の通商政策の決定に大きく関与するようになっており、特に、企業が国家間制度の形成や維持への関与や、企業同士の規律関係の形成によって公共的な機能を果たしている点は注目される。GATTウルグアイ・ラウンドにおけるTRIPs協定の締結は、知的財産権紛争を早くから経験してきた民間企業が政府間制度の構築に直接的に関与した事例として位置づけることができる。しかし先行研究の検証は米国に限られ、知的財産権関連企業のロビー活動の結果であるという従来的な説明にとどまっている。本研究は、TRIPs協定の形成過程の検証を通して、企業間関係が国家間制度の形成に与える影響についての理論的説明を試みている。本研究は、民間企業と国際制度の関係に関する国際政治経済学の先行研究をまとめると共に、先進国における民間企業同士のトランスナショナルな関係や、各国の企業と政府の関係の違いが、国家間制度の構築にどのような影響を与えているのかという問題についての一般的仮説を提示している。また事例検証では、米国のみならず日本、欧州における政府と企業の関係をも視野に入れることによって、その政治過程を明らかにしている。検証を進めるにあたって、政府関係資料に加えて、産業誌や社内誌をみることによって企業の動きを分析しており、また、内外の実務経験者へのインタビューを多数試みることによって、検証の裏づけを得ることに努めている。検証の結果、国際制度の形成は、米国企業の影響力の拡大という面のみによって簡単に説明できるものではなく、実質的な国際制度形成のためには先進国間の政策の相違を調整することが最も重要となってきており、その調整のために企業間のトランスナショナルな協力関係が影響力をもったことが示された。
