本年度は、昨年度に引き続きドイツにおける「第三者責任論」をめぐる判例や学説の最近の動向を概観し、そこから契約外の第三者が責任主体と考えるべき「事情」抽出を試みた。第三者が当該契約当事者に対して責任を負う要件は、「自らへの特別な信頼を惹起」と「その信頼惹起が契約交渉等に重大な影響があった」ということである。判例法によれば、この「特別な信頼」とは、当該第三者への個人的信用を意味するのではなく、その地位、職業等に関連した信頼、例えば契約内容に関わる専門知識を有しているだろうとの信頼を意味する。また、第三者のもたらした特別信頼が当該契約交渉や契約準備に「重大な影響」をおよぼしていなければならない。つまり、その信頼惹起が、契約交渉過程とその結果の原因となっていなければならない。したがって、第三者の責任にはこのような因果関係も立証される必要がある。一方で、わが国における契約外の第三者の責任が問題となった紛争事例を分析すると、融資一体型の取引類型における金融機関の説明義務違反をめぐる事例において、金融機関の信頼惹起行為に対して信義則上の義務を認めることで、ドイツ判例法と類似の構成を見出すことができた。本年度の研究成果を契機に、今後もドイツ判例法で発展してきた、このような意思を媒介とせず信義則をその発生根拠とする保護義務や「第三者責任論」のわが民法学への導入の可否を引き続き検討していきたいと考える。
