証券法制が証券市場を規制する法制度である以上、世界各国にとってもっとも重要な法律部門の一つになるのに違いありません。アメリカの証券市場はもっとも発達しているため、かかる法整備もほかの国をリードしてきました。しかし、実態経済が世界で最も発達しているアメリカでは、理論研究が必ずしもそれに相応しいものとなっているとは言い切れません。したがって、我々外国の者が比較法の観点からアメリカ法を研究する必要があります。アメリカは連邦制を採用している国であるため、法分野においても連邦の法制と州の法制が二重に存在しているのは現状であります。現在、アメリカの証券法制に関する比較研究のほとんどは連邦証券諸法に関する研究に集中しており、連邦諸法よりも早く整備され、各州の証券市場を規制してきたブルー・スカイ・ローに関する比較研究はほとんどなされておりませんでした。このような状況に鑑み、私は、アメリカにおけるブルー・スカイ・ローの内容を整理しながら、州の証券規制の過去・現在及び将来における役割を明確にしたうえで、日本ないし中国の証券市場に関連する法規制への示唆を試みたいと考えております。具体的に、ニューヨーク州の証券法であるMARTIN法について研究を行ないました。MARTIN法は他州の証券規制に比べると、最大な特徴が証券発行に対して実質審査を行なうのではなく情報開示を求めるところにあります。こういう規制手法はかつてアメリカ連邦証券諸法の立法モデルでもありました。21世紀に入った現在でも、大規模企業、投資銀行、証券取引所がもっとも集中しているニューヨーク州において、州の司法長官がMARTIN法を活用していろいろな証券不正に対応しております。高度的に発達している証券市場を有するニューヨーク州の規制モデルは、ほかの成熟した証券市場を有する国あるいは地域にとって証券規制を整備する際に大いに参考になるだろうと思われます。
