General regulation of joint venture

在以共同经营为目的而设立的合资企业中，存在着少数股东取得经营权的问题。本研究主要是针对合资企业中，少数股东如何参与公司的经营管理，以及少数股东在公司停摆时如何采取行动的问题，提出一种以公司为单位的诉讼代理制度。

At joint venture which is established for the purpose of doing business jointly, there' s the problem that the minority investor secure the right of management. This reserch define that, at joint venture, how minority participate in the management of the company, and how minority take action in case of lockout, using the regime of societe par action simplifiee.
