Laws of Business Structures for Promoting Small Business

2006年，日本修改了公司法，引入了LLC制度。日本的有限责任公司制度就是其中之一，因此在企业结构中使用有限责任公司的优点并不大。在英国，合伙制是非常受小企业欢迎的形式。伙伴关系源于双方之间的自愿协议，但不仅仅是一个简单的合同。把合伙法仅仅看作是一种合同，这是一种误导。在美国，有限责任合伙和有限责任公司是非常受欢迎的形式，不仅为小企业，但大企业。特别是，有限责任公司不仅仅是像英国那样来自双方同意的协议。在有限责任公司协议中，可以取消双方之间的信托责任。然而，如何消除受托责任存在许多争论，这些观点可以发展有限责任公司的使用。我研究了这些结构，并指出如何在日本使用LLC。

In 2006, company law in Japan was modified and the LLC schime was introduced. Japanese LLC scheme is one of the companies, therefore there is little merits to use LLC for business structure. In the UK, partnership is very popular form for small business. A partnership stems from a consensual agreement between the parties but is more than a simple contract. It would be misleading to regard partnership law as solely a species of contract. In the US, LLP and LLC are very popular form for not only small business but large business. Escpecially, LLC stems more than from a consensual agreement as in the UK. It could be eliminated fiduciary duties between the parties in the LLC agreement. Howevere there are many arguments how to eliminate the fiduciary duties, these points could develop the use of LLC. I have researched these structures and pointed out how to use LLC for small business in Japan.
