本年度において、拘束条件付取引の成立要件と社会厚生に対する影響に関する以下の研究成果を得た。拘束条件付取引契約とは、垂直的関係にある企業間の卸売取引において、競合他社との取引の禁止や、自社製品の購入割合に応じた価格の割引などの条件を付加するものであり、前者は排他条件付取引、後者は市場占有率契約と呼ばれる。こうした取引契約は、競合他社の取引の機会を制限するものであるがゆえに、競争当局による規制の対象となることがあり、特に排他条件付取引については、経済学的見地からも、社会厚生に悪影響を及ぼすことが指摘されている。しかしながら市場占有率契約に関しては、未だその性質の解明は不十分であり、そのような契約が利用され得る市場環境や、利用された場合の社会厚生への影響を明らかにするため、理論モデルを構築し、競争政策上の含意を得る必要がある。我々はその理論モデルの考察によって、(1)垂直的関係にある企業が二重限界性の問題に直面しているとき、その軽減を目的として市場占有率契約が締結され得る、(2)市場占有率契約が締結された場合の帰結として社会厚生は改善する、という二つの結果を得た。二重限界性とは、垂直取引における上流部門及び下流部門の各企業が利ざやを得ようとするために、結果的に財の供給量が過少になるという問題を指し、一般に企業利潤、及び社会厚生の双方にとって損失となるものとされている。市場占有率契約はそうした問題を軽減し、企業利潤と社会厚生の双方の点で有益となることを明らかにした。これらの得られた結果によって、市場占有率契約について、競争当局がその利用を容認するべき場合があり得るという、競争政策の実務において重要な含意を得た。
