本年度は、前年度の研究を踏まえて、イギリスにおけるCSR情報の開示と取締役の義務との関係を中心に研究を進めた。イギリスでは、CSR情報の開示について、大規模公開会社だけではなく、大規模非公開会社にまでその対象を拡大している。そのような状況において、大規模非公開会社の不祥事などを契機に、大規模非公開会社向けのコーポレートガバナンス・コードも公表されている。また、サプライチェーンにおける強制労働や人身売買を規制する現代奴隷法を先進国の中で先駆けて制定しており、株式会社のCSRを法的に強化する動きを進めている。その他にも、イギリスでは、会社法上、会社による政治献金について、情報開示だけではなく株主総会の決議を求めており、アメリカ法の研究者からも注目されていることを確認した。アメリカ法の研究者の中には、株主総会決議に諮ることによって会社の政治献金に関して取締役の誠実性を推定し、その法的責任を免除すべきというアイディアを主張している。これを、さらに推し進めて、会社の政治献金のみならず、慈善事業等のCSR活動に要した支出に対して株主総会決議に諮ることを議論している研究者も現れている。このようなイギリス・アメリカの議論も踏まえて、慈善事業や政治活動などCSRに関する活動に要した支出に対して、会社法の観点からどのような規律づけがベストであるのか、そこでの取締役の法的責任をどのように考えるべきかについて研究を進めている。
