近年、有価証券届出書や有価証券報告書における、会社の事業等のリスク要因に関する情報の開示を充実させることが課題となっている。会社の事業等のリスク要因に関する情報の開示は、機関投資家が当該会社に投資するか否かを判断する際、あるいは、経営者に対して、どのような働きかけをするかを判断する際に、非常に重要な意味を持つと考えられる。また、会社の事業等のリスク要因に関する情報の開示について虚偽記載あるいは不開示などの瑕疵があった場合には、機関投資家が中心となって会社や経営者の責任追及を行うなど、エンフォースメントの一部を担うことが予想される。このような理由から、会社の事業等のリスク要因に関する情報の開示は、本研究の課題である証券訴訟における機関投資家の役割や義務と密接な関係があると言える。そこで、今年度は、アメリカにおける会社の事業等のリスク要因に関する情報の開示をめぐる制度改正の経緯について、SEC（証券および取引所委員会）による文書資料を中心に調査した。その結果、リスク情報の開示内容が一般的抽象的なものであることが問題視されており、企業ごとに特化した内容とするように促すための制度改正がなされていることを確認した。また、開示すべき義務があるリスク情報を開示しなかった場合における証券発行会社等の民事責任について判断した裁判例について研究した。これらを踏まえて、日本法への示唆についても検討し、その中間的成果を研究会で発表した。
