本研究は、近年、世界的に導入が進んでいる “Comply or Explain” 手法をとるガバナンス規制が、企業のガバナンス構造と経営行動に与える影響を解明することを目的とする。日本でも　2015年に“Comply or Explain”型のコーポレートガバナンス・コード（CGコード）が採用され、上場企業によるCGコードの遵守状況や業績等との関係が明らかになりつつあるが、上場企業の多くを占める中小規模の企業におけるガバナンス構造の変化はまだほとんど明らかになっていない。本研究では、これまで研究があまり進んでいなかった、比較的規模の小さい上場企業を対象として、CGコードの適用がもたらす影響を取り上げる。本課題の初年度にあたる本年度は、本研究の中心となる仮説の設定と実証モデルの構築のため、 海外市場における“Comply or Explain” 手法をとるガバナンス規制、及び中小規模企業のガバナンス問題に関連する先行研究を中心として、幅広く文献レビューを行った。また、2022年4月に実施された東京証券取引所の市場区分の変更に伴い、ガバナンス環境が大きく変化した企業の一部を抽出し、CGコードに対する取り組み状況について調査を行った。文献レビューと小サンプル調査の結果、大企業とは異なり資源の制約の多い中小規模企業では、“Comply or Explain” 手法が有効である可能性がある一方、CGコードの適用範囲の拡大が及ぼす負の影響も存在することが確認され、次年度以降の大サンプルを用いた定量的な分析を開始するにあたって有用な示唆を得ることができた。
