儒家文化与内部控制有效性：作用路径、经济后果和外部治理

Internal control results from the effect of both economy and culture, and the compatibility of culture and internal control is also the deep reason that lead to form over substance. As the most deep informal institution that affects the Chinese social groups, the influence of the Confucianism on the effectiveness of internal control is worth studying. From the perspective of new institutional theory, the project describes the role of Confucianism in internal control from three aspects: promotion mechanism, social trust and risk aversion on the basis of effectively distinguishing and quantifying the superficial Confucianism and the deep Confucianism. And this project also analyzes the economic consequences caused by the internal control under the influence of Confucianism. It discusses the external governance factors that can absorb the essence and discard the dross of Confucianism and build an effective internal control system from the perspectives of industry competition and the level of the law. The innovation of this project is: it distinguishes and makes reasonable quantification of the superficial and the deep meanings of Confucianism for the first time in oder to establish the theoretical framework that Confucianism affecting the effectiveness of internal control. It provides empirical evidence from China to solve the incompatibility between eastern culture and western management system. However, It also provides a reference for how to correctly understand Confucianism and develop an internal control system with Chinese characteristics.

内部控制是经济和文化双重作用的结果，而文化和内部控制制度是否适配也是导致内部控制出现形式化的深层次原因。儒家文化作为影响华人社会群体最深远的非正式制度，对于内部控制有效性的影响值得研究。本课题从新制度经济学的视角出发，在有效区分和量化表层儒家文化和深层儒家文化的基础上，从晋升激励、社会信任、风险规避三方面刻画儒家文化影响内部控制的作用路径，并实证检验儒家文化影响下的内部控制导致的经济后果。从行业竞争程度、法治化水平和外来文化冲击三方面探讨可以抑制儒家文化的弊端，形成实质有效内部控制体系的外部治理因素。本课题的创新点是：理清了儒家文化的表层和深层含义并进行合理的量化，构建了儒家文化影响内部控制有效性的理论框架，为解决东方传统文化与西方管理制度不适配的问题提供来自中国的经验证据，对如何正确认识“仁义礼智信”的现代价值、形成优秀的儒家文化内部控制环境，为COSO完善内部控制概念框架提供新的思路。

企业文化是内部控制的灵魂和基础，文化与制度的适配是影响内部控制有效实施的关键。在COSO内部控制概念框架引入现代化公司治理的十几年过程中，中国企业多数搬运了西方社会的内部控制制度，这种制度以个人主义文化为主、分离式牵制为基础，没有考虑中国企业集体主义的管理文化背景，这容易导致内部控制制度水土不服和执行形式化问题的频繁发生，尤其是很难解释管理层凌驾于内部控制、选择性执行内部控制等特殊现象的存在，而这些都是企业管理文化与制度不合拍所导致的。因此理解转型期的中国问题除了要关注中国借鉴或改良而来的正式制度，也应重视历代变迁过程中逐渐演化而成的非正式制度。对中国社会而言，儒家文化是影响最为深远的非正式制度，它不但塑造着中国企业的精神，而且可能成为中国现代化进程中的重要精神支柱，其对公司治理的影响不言而喻。.本研究基于2008-2017年度中国A股上市公司的数据，在梳理了儒家文化精神内涵的基础上，从财务报表中手工收集了可以表征儒家文化“仁、义、礼、智、信”当代价值观的数据，为每个样本企业赋予了不同的文化数值，并利用层次分析法（AHP）对其进行量化，实证检验了儒家文化的当代价值对内部控制有效性的影响。研究表明，儒家文化的当代价值和内部控制有效性呈显著正相关，在进行内生性检验和稳健性检验之后，原结论依旧成立。儒家文化的当代价值对内部控制有效性的正向影响在国有企业中更加明显；这种正向关系在家族企业中显著，而在外商投资企业中无影响。此外，儒家文化的当代价值通过影响晋升激励和公司声誉这两种路径提升内控质量。在对外开放程度较低、法治化水平较低、市场化进程较慢的地区，或是有经营危机的企业，儒家文化的当代价值对内部控制有效性有更为明显的提升作用。在经济后果方面，儒家文化的当代价值可以增强内部控制对代理成本的抑制作用，并减弱内部控制对风险承担的负向影响。本课题的研究成果为我国上市公司提高内部控制有效性提供了新的思路与参考。
