本课题立足于全球价值链下的中国产业升级战略，以经济全球化和技术进步为诱因的制度转型为背景，以董事会资本、跨国创业导向与企业绩效为研究对象，应用规范分析、实验研究和实证研究相结合的方法，辨析在制度转型的背景下，在企业战略主流理论的基础上，考察董事会资本如何影响企业跨国创业导向选择，进而影响企业绩效的科学问题。该课题的分析逻辑是：企业战略是企业和企业经营环境变化之间的不断适应和匹配，从而以实现持续改进企业资源配置效率的行动过程模式；董事会资本提升企业创业过程中的信息处理能力和资源优化配置，进而有利于促进企业跨国经营绩效的提升。本课题从董事会资本视角为跨国创业导向选择的影响因素提供新的证据，同时从跨国创业导向选择的视角为企业寻求改进海外经营绩效的途径提供新的解释。本课题能够拓展和深化全球价值链与中国产业升级的研究，为针对中国企业实施“走出去”的国际化战略提供理论依据和政策参考。

Based on the strategic of Chinese industrial upgrading under the global value chain, institutional transformation of the economic globalization and technological progress, the research objective is board capital, international entrepreneurial orientation and corporate performance. It uses the normative analysis and empirical research. Based on the institutional transformation background and enterprise strategy theory, we test the scientific problems how board capital affects international entrepreneurial orientation, then affects corporate performance of international entrepreneurial company. The logical sequencing of this research is that. Enterprise strategy is constantly adapted and matched between the enterprise and enterprise management environment change, and then it achieves and improves the process model of the enterprise resource allocation efficiency action. Board capital promotes the information processing capacity in the process of international entrepreneurial orientation and optimization of resource allocation, which is beneficial to promote the performance improvement of the enterprise international operation. This project provides new evidence from the perspective of board capital for the determinants of international entrepreneurial orientation, and identifies a new channel from the perspective of international entrepreneurial orientation through which way can promote the performance of international firms. This project expands and enriches the research about the global value chain and Chinese industrial upgrading, and to provide a theoretical basis and policy reference to further promote and deepen the “Going Out” strategy.
