本年度は、株式会社を主とする一般法人の農地所有権取得の自由化に踏み切った場合の法的諸問題についての文献研究を行った。大きく分けて二つの点が明らかになった。一つ目は平成一二年の農地法改正時に、同じような議論がされていたことが判明したことである。すなわち、実はこの改正で、株式会社であっても株式の非公開会社であること等の一定の要件さえ満たせば農業生産法人（現「農地所有適格法人」）となる道が開かれていた。しかし、ここで非公開会社であることが要件とされたのは、株式公開会社に道を開けば、株式譲渡自由の原則によって、株式は自由に株式の譲渡を行うことができ、農業関係者以外の第三者が株式を取得しまう可能性が生じる。そして、その第三者が株式をさらに取得し、会社内で次第に増大することで、経営支配権が農業関係以外の者に移転し、農地が農業以外の目的に利用されてしまうことになる。これにより、農業の衰退を引き起こす可能性が出てきてしまうためである。所有権取得だけは未だに法人に認められていないが、この議論は平成一二年改正の上記議論がそのまま当てはまるので、今後これを基にさらなる検討が必要である。二つめの論点は、憲法問題である。まず、これら株式会社に対する規制は、憲法で保障される財産権の侵害にあたるものとして違憲ではないかという論点がある。最高裁は、これを合憲と判断している（最小判平成一四年四月五日刑集五六巻四号九五頁）。それでは、今後株式会社の農地所有権取得を可能にする農地法改正が行われた場合、逆に地域住民の憲法上の権利（特に経済的社会的弱者の生存権）を侵害しないのかが問題になる。これまでにそれを判断した判例はないが、理論的には考え得る。今後この点検討が必要である。
