2022年度は、EUおよびEU加盟国であるドイツの環境保護と会社法の関係について研究した。日本においては、近年、会社法によって、環境保護等の会社の持続可能性（サステナビリティ ）の要素をいかにして実現できるかが議論されている。この分野において、ドイツは、伝統を有し、また、世界をリードしている。ドイツでは、既に18世紀初頭の森林学に、持続可能性の概念が、木の伐採に警告を与える概念（「人は成長してくる木よりも多くの木を伐採してはならない」）として存在していた 。ヴォルフガング・シェーンは、19世紀におけるドイツ民法の制定においても、用益賃貸借上の持続可能性の概念につき、「乱伐（Raubbau）」に対峙するものとして、「秩序ある経」の概念として既に導入されていたと説く。今、国連やEUからの要請を受けて、ドイツの会社の持続可能性に関する立法は大きく変貌しようとしている。会社の持続可能性は、21世紀のドイツの会社法をリードする法理念である。本稿では、会社の持続可能性に関する近時のドイツの立法を概観し、環境・気候変動・人権・ダイバーシティー（多様性）等の会社の持続可能性につきEU法・ドイツ法から日本法が何を学ぶことができるのかについて考察した。また、ドイツ法における譲渡人の商号を続用した営業譲受人の責任と株主の権利のための闘争の手段である株主代表訴訟のドイツにおける発展、EU加盟国であるドイツにおける人的会社法の大改正についても研究した。また、会社法に関する書評も発表した。
