1980年代以降,企業財務論の新潮流として,シグナリング・モデルとエージェンシー・モデルが注目されている。本研究では,これらの新しいアプローチを用いて,近年わが国企業が盛んに行っている自社株買いを理論的,実証的に分析することを試みた。理論研究では,自社株買いの発表以前に企業の株価が下落するという現象を説明するモデルを構築することに成功した。この現象は,アメリカにおける実証研究が報告している一方,従来の理論モデルでは説明されていないものであった。このことが,本研究の最大の成果であるといえよう。また本研究では,企業の経営者が,自社株買いの発表を通じて,自身の経営方針が株主重視であることをアピールできるという結果を導いた。これは,自社株買いの発表後に株価が上昇するという現象と整合している。企業の経営者が,自社株買いを通じて自身の経営姿勢が株主重視であることをアピールするのは,株主と経営者の間に利害対立があるというエージェンシー・モデルを用いた成果である。また,自社株買いの発表直後に株価が上昇するという結果は,シグナリング・モデルを適用した効果である。実証研究の方は,現在データを解析しているところであるが,上に述べた理論モデルの予測と矛盾しない結果が得られそうである。すなわち,わが国においても,企業の自社株買いは,株価が下落した後にアナウンスされ,その直後から株価は上昇を始めるということが言えそうである。以上を本年度の研究実績として報告いたします。
