项目摘要

平成9・10年度の2ヶ年にわたる本研究は、経営判断の原則および株主代表訴訟を通じ、取締役の経営責任につき実証的に検証することを目的とした。平成10年度は、前年度の作業を継続するとともに、実証的検証とするためアンケート調査を実施した。これは、株主代表訴訟手数料引下げから4年あまりが経過していること、近年、企業不詳事件および経営破綻企業が増加傾向にあることをふまえ、監督機能・取締役の責任等につき、企業への意識調査としておこなったものである。調査は、東京証券取引所上場全企業(1831社:平成10年2月14日現在)を対象とし、株主代表訴訟、取締役の経営責任、監督機能および株主総会運営等につき質問した(アンケート関係書類については、平成9年度科学研究費補助金実績報告書に添附済み)。実施期間は、平成10年3月9日〜同月31日までとし、590社から回答を得た(回収率32.2%)。本調査から、株主代表訴訟の提起に会社が相当の負担を感じている、被告取締役の業務遂行にも支障を来している、取締役(会)および監査役(会)による監督・監査機能につき疑問を感じている、ということがわかった。また、株主総会運営に関しては、総会屋をはじめとする特殊株主の存在が大きく、これらの者に対しなんらかの対応策を講じている企業が多い一方、今後の総会運営につき健全化の方向へすすむと回答した企業が半数近くあったのは意外であった。さらに、株主総会および株主の意義・監督機能・権限につき疑問視するあるいは否定的な回答や、マスコミおよび商法研究者に対する批判なども散見され、現場の緊張感をうかがい知ることができた。そのほか、本調査に強い関心を示し、ホームページ等による調査結果の公表を希望する企業もあり、有意義な調査であった。なお、詳細については、添附紀要抜刷を参照のこと(「関東短期大学紀要」第43集pp.139-167、平成10年12月16日発行)。

This study aims to investigate the principles of management judgment and the evidence of corporate representative litigation and party management responsibility in the second half of 2009. In 2010, the Company conducted a survey on the operation of the Company and the previous year.
