本研究は、わが国において自由競争原理の適用が強調される二重契約を素材として、フランス法を参照しつつ、自由競争が適用される範囲を決定する基準づくりを行うことを目的として進められた。その結果、まず、フランス法の研究から、以下のことがわかった。すなわち、フランス法では、契約の交渉段階においては自由競争原理が支配するが、いったん契約が締結された以後は、第三者もまた契約を尊重しなければならないと考えられている。したがって、二重契約が締結された場合、契約の拘束力および第三者に対する対抗力を根拠として、第一契約が優先するのが原則である。もっとも、これには二つの例外がある。第一に、第二契約を締結した相手方が、第一契約の存在を知らなかった場合、取引安全の観点から第二契約が優先する。第二に、労務の提供を目的とする契約が二重に締結された場合、どちらを履行するか、債務者の選択が尊重される。そこで、日本法について検討すると、契約の拘束力が重視されるべきことは、わが国でも同様である。また、契約の拘束力を真に確保するためには、契約の当事者でない第三者も、契約の存在を尊重することが求められる。わが国では、従来、契約の成立を簡単に認めつつ、第三者が二重契約を締結して先に履行することも自由競争の範囲であると考えてきた。しかし、契約の拘束力を重視するならば、むしろ、契約の成立自体は慎重に認定したうえで、自由競争が許されるのは第一契約成立までと解される。もっとも、フランス法で認められている例外的事由は、日本法においても考慮されるべきであり、債務の性質、第二契約の相手方の主観的態様は、第一契約の優先に対して例外が認められる場合の基準となる。なお、研究成果の一部は、昨年の日仏法学会で報告された。
