本研究の目的は、契約の第三者に対する効力に関するフランス法の学説・判例を検討し、日本法と比較することにより、わが国における契約の効力と第三者との関係を考察することであった。まず、契約と第三者との関係に関するフランス法の調査研究の結果、フランスでは、様々な契約類型において、契約の第三者に対する効力を肯定する裁判例が下されていることがわかった。それらの裁判例は、必ずしも法的根拠を明かにしているわけではないが、これらの裁判例は、学説によって肯定的に評価されている。そこで、学説が、契約の第三者に対する効力の問題をどのように理論しているかをみると、わが国と異なり、契約によって生じる物権あるいは債権の第三者に対する対抗力としてではなく、契約そのものの対抗力として第三者に対する効力を当然のこととして認めていることがわかった。もっとも、契約に、そのような第三者に対する効力が生じる法的根拠については議論があり、従来は、他人間に締結された契約であっても、社会的事実として尊重しなければならないとする見解が支配的であったが、最近では、契約の効力そのものとして理解する有力説も主張されている。つぎに、わが国の判例・学説を見ると、第三者との関係は、契約によって生じる権利の問題としてのみ扱われ、そのため、債権の相対効などが障害となって、議論に広がりがないことがわかった。しかし、わが国は、契約法についてフランスと法制度そのものはかなり共通することを考えれば、契約そのものの対抗力は、わが国においても、採用し得ない考え方ではなく、十分検討に値する。
