项目摘要

昨年度に実施したアンケート調査結果を分析し、特許制度を比較的利用している中小企業は、自社の有する基幹技術を模倣防御に活用し、連携には用いていない傾向にあることが判明した。一方、大学においても特許制度を連携ツールとして用いることに際して、産業界等からその実施料支払いに対して不満があるなど問題点があることが分かった。そこで、知的財産権を連携のツールとして活用するための要因を探ることにし、自社製造設備を有しない研究開発型の中小企業や大学発ベンチャーの協力を得て、知財に関する契約交渉をするという実証的研究を実施した。加えて、大学の知財交渉においてもWIN-WINの交渉ができる要因を追求した。その結果、契約相手に知的財産権のみに注目させるのではなく、それを生み出すことの原因となった技術やアイデア、組織力やネットワークなどの知的資産に着目させることにより、知的財産権の連携ツールとしての機能を発揮させることができることをつきとめた。さらに、交渉相手を知的資産に着目させるには、知的資産の存在と有効性、事業活動との関連性や活用方策を分かりやすく伝える必要があるが、無形資産を表現することは中小企業にとって容易ではない。そこで、知的資産経営報告書を活用することにし、中小企業やベンチャーに同報告書を使用して契約交渉をしてもらったところ、相手の理解の促進に寄与することが経験的に明らかになった。ただし、同報告書の信憑性を確保するには、KPI (Key Performance Indicator)の記載が有効であるものの、中小企業にとって、KPIの選定等が難しいという課題も判明した。今後は、中小企業の知的資産について、信憑性を確保しつつ分かりやすく表現する手法やKPIの開発が必要と考えられる。
