项目摘要

本研究の目的は，上場企業によるディスクロージャーと株主総会での議決権行使を通じた株主のガバナンスの関係について明らかにすることにある。株主の議決権行使がもたらす企業行動への含意については，株式売買の行動等に比べ証拠の蓄積が乏しい。特に，議決権行使を「情報開示」という枠組みから分析した研究は極めて少ない。本年度は，本研究に関連して，以下の進展があった。第一に，データセットの整備である。本年度には，日本経済新聞社および議決権行使助言会社の提供する議決権行使に関するデータを購入し，データセットの整理や，記述統計・傾向の確認を行った。また，株主提案に関するデータを追加収集し，分析に活用できるよう整備した。第二に，学会等での報告である。上記の株主提案および議決権行使に関するデータを用いて，株主提案の影響に関する実証分析（共著）を行った。この成果については，既に国際学会（査読あり）に受理されており，国内・国外で研究報告を予定している。第三に，国際的な査読誌への論文の投稿である。日本企業を対象に，株式の流動性が現金保有行動に及ぼす影響に関する論文（共著）を執筆し，国際的な査読つき雑誌に研究プランのレポートとして投稿した。本論文については，SSRNにワーキングペーパーとして公開している。第四に，本研究題目における研究課題の深化を行った。特定の会計情報に着目し，議決権行使や関連法規との関係性など，論点整理を行った。現在は仮説検証のためのデータセットを整備している。
