今年度に行った研究も、大別すると以下の二つの方向性に分けられる。第一は、株式会社制度、株主総会制度に対して歴史的・理論的観点からする研究である。今年度は、ドイツにおける株式会社制度、株主総会制度の歴史的展開を調査した。まず、17世紀から18世紀にかけてのドイツにおいて、オランダの株式会社制度をいかに継受したかにつき、当時のドイツにおける貿易会社、植民会社に関する諸論稿を通じて調査を行った。次いで、19世紀のプロイセンにおける、公的性格を有する鉄道会社を中心とした株式会社の発展、さらにその後の自由主義的思想の影響下で、株式会社の「政治性」が脱落し、今日的な「私的」団体としての株式会社に変化していく過程につき、当時の法文、書籍等の一次資料、そして現代の諸論稿等を参考にして、調査を行った。この研究を通じて、当時のドイツにおける議論の展開は、今日のわが国の株式会社制度を今なお規定している側面があり、極めて興味深い。当該調査に基づく分析は現在執筆中であり、早急にその成果をまとめたいと考えている。第二は、株式会社制度、株主総会制度に対して、今日の実務的な運用を認識する方向性での研究である。今年度は、わが国における株主総会制度が果たしている役割につき、実務家からのヒアリング、あるいは当該問題を扱う研究会等に参加し、調査を行った。その中で得た示唆の一つが、株主総会決議の「免責機能」であり、株主総会に基づく取締役の業務執行に関しては、その責任を問えないのではないかとの議論である。私見としては、この機能は、株主総会が相応の判断能力を有することを前提として成り立つ議論であると理解しているが、まさにその能力の欠如こそ、私は問題として認識している。この点は、新株有利発行に関する株主総会の意思決定を例に、近時の会社法改正とも関連づけて、その分析を行った。当該研究は、本報告書にも示したとおり、まもなく(本年5月)に公表予定である。
