项目摘要

本研究は、株式会社その他の法人企業における実質的支配関係の透明化の確保と株式会社等における実質的支配者に対する会社法および資本市場法による体系的規律の構築が、国際的な共通課題であるとの認識のもと、この面で先行する英独仏の研究者や規制機関等と国際共同研究を遂行することで、わが国の会社法制・資本市場法制の立法論的検討はもとより、上記の共通課題に対する解決方策の検討・提言を行うことを最終目標とする。令和4年度は、第1に、研究代表者および研究分担者（坂東・内藤）が、本研究の研究協力者であるハンブルク大学のG. Ringe教授および新たに関係を構築したゲーテ大学のTobias Troeger教授らと問題意識の共有等を図ることを目的とする研究ミーティングを行うため、例5年2月半ばにドイツに出張した。その際、ドイツの金融規制機関（BaFin）を訪問し、規制当局関係者との意見交換も行った。第2に、研究代表者および研究分担者（坂東・石川）は、令和5年3月前半にイギリス・フランスに出張し、本研究の共同研究者であるイギリス・バーミンガム大学ロースクールのLorraine Talbot教授およびその同僚であるAndreas Kokkinis准教授と、同大学にてワークショップを実施したほか、その後、フランスでの研究協力者として関係を構築したパリ政治学院（Sciences Po）のR. Bismuth教授および同政治学院に滞在していたゲーテ大学のKatja Langenbucher教授とのワークショップを同政治学院で行った。これらのミーティング等を通じ、共同研究者らとの問題意識の共有および対処すべき新たな課題の洗い出しを行うことができた。なお、令和4年度は関連論文等の発表には至っていないが、令和5年度中に上記国際共同研究の成果の一部となる論文を研究代表者らが発表する予定である。
