倉庫営業ないし物流関連業務を行う営業は、近年、そのサービスにいかに付加価値をつけるかがますます重要となり、大きく変化している。倉庫営業について、民商法に若干の関連規定が置かれているがこのような変化に対応するものとなっておらず、また取引法学においてもほとんど関心がもたれてこなかった。本研究は、このような取引実態と法の規定の乖離を明らかにし、問題点を検討する試みである。本年度は、まず、物流関連業務に関する先行研究の整理を行なった。私が念頭に置いていた取引実態は、従来の取引法学においては、専ら複合運送契約における運送人の問題として取り扱われてきたこと、反面、問題の所在は同様であるにもかかわらず、運送人以外の主体の責任については検討されてきていないことを確認した。続いて、英国ケンブリッジ大学にて調査を行い、欧州では運送取扱営業の重要性が高いこと、運送取扱営業の各種の約款が公表されていることを確認し、各国の運送取扱営業の約款等を収集した。さらに、取引実態において物流関連業務においてどのような付加価値が必要とされているかを知るために、経営学(サプライ・チェーン・マネジメント)の動向を調査した。また、企業経営においてどのような場合に提携関係を結ばれるのかを知るために、経営学(戦略論)の動向について調査した。今後は、経営学から得られる示唆をもとに、日本における物流関連営業の実態調査を行ないたい。
