わが国において、金融機関から融資を受ける際、会社経営者が会社債務の保証を徴求されることが常態化している。このことはフランスにおいても異ならない。わが国の民法は、2004年の改正後も保証の負担を合理的範囲内に制限する条項を有していない。保証契約締結を拒絶する自由を事実上有さず、その負担額も多額となるケースの多い経営者たる保証人にとって過酷な状況は変わらない。本研究は、こうした経営者保証の特質を明らかにするとともに、その保証の負担を一定の範囲に制限する方策の可能性を探求することを目的として行なわれた。研究の方法としては、当該分野で変遷の著しいフランス法における処遇を、時期的区分ならびに立法及び判例の区分という二つの視点をもって研究を進めた。その過程で、特別法たる消費者法の一般法たる民法への波及という現象を確認しえた。また、経営者保証の特質として、債権者の情報提供義務違反の基礎となる債務情報の欠如が経営者たる保証人には見られない点(なお、保証人への情報提供義務は経営者保証を中心として形作られてきたといえることも確認できた)に加えて、主債務者の意思決定への保証人の関与、そして、保証人自身が保証関係から受けうる利益を保持することの是非が保証の負担範囲の制限に際して考慮されているとの知見を得ることができた。たしかに、裁判官の契約内容への介入が制約されるフランスに比して、わが国では一部無効というかたちでの契約の修正が容易に認められる。しかし、本研究を通じて得られた保証人保護(半面から言えば債権者に対する制裁)の態様は、債権者と保証人それぞれの機会主義的行動を抑止しうるものとして、また、2006年改正の貸金業法が保証契約の効力に及ぼす影響を検討するに際しても有用と考える。
