この研究では1995 年から2005 年にかけての主要日本企業のリストラクチャリングの動向を、(1)経営・ガバナンス構造、(2)事業ポートフォリオ、(3)組織構造、(4)財務構造の4領域において把握するための基礎データを整備するとともに、同時期におけるリストラクチャリングの全体像についての第1 次的な分析を行った。また、日本企業に特徴的なリストラクチャリングモードである事業統合について、経営統合(合併)との比較分析を行い、その背景や企業(株主)価値へのインパクトなどを明らかにした。

This study covers the trends in corporate governance of major Japanese companies from 1995 to 2005,(1) business structure,(2) business structure,(3) organizational structure,(4) financial structure, and (4) management of the four areas of corporate governance. At the same time, the first analysis of the whole image was carried out. The characteristics of Japanese companies are analyzed in terms of comparative analysis of business integration, management integration (merger), background and corporate (owner) value.
