母子公司高管协同既是集团公司治理结构的一种特殊安排,也是发挥集团化经营的协同效应、创造母合优势的重要手段与途径。目前,学术界关于母子公司高管协同的研究滞后于集团公司治理实践的需求。基于此,本项目以公司治理理论为基础体系,围绕以下问题对母子公司高管协同机制进行分析:(1)母子公司高管协同配置的表现形式梳理与结构要素识别;(2)基于扎根理论的母子公司高管协同驱动机制探索性案例分析,并通过定性比较分析方法增大样本量检验研究结论的合理性和普适性;(3)基于非线性视角从“授之以鱼”和“授之以渔”双重路径考察母子公司高管协同的“双刃剑”治理效应;(4)基于以上研究结论,构建以提升子公司成长性为目标的母子公司高管协同决策优化模型,并从优化治理结构和完善治理制度两方面提出政策建议。总之,考虑到企业集团在我国经济发展中的重要性和未来较长时期我国新型发展理念的要求,本项目的研究具有理论紧迫性和重要实践价值。
英文摘要
Executives synergy between parent and subsidiary corporations is not only a special arrangement for Group Company governance structure design, but also an important means of giving full play to the synergy effect of Group Company operating and creating mother to child advantage. At present, research on executives synergy of parent and subsidiary corporations lags behind the needs of Group Company governance practice in academic circles. In view of the research status, on the basis of corporate governance system theory, this project researches executives synergy mechanism of parent and subsidiary corporations focusing on the following issues: (1) Combing expression forms and distinguishing the structure elements of executives synergy allocation between parent and subsidiary corporations; (2) Making exploratory case analysis of executives synergy allocation between parent and subsidiary corporations based on grounded theory, then through qualitative comparison method analysis to increase the sample size in order to improve the rationality and universality of the research results; (3) From the nonlinear perspective, this research explores the double-edged sword governance effect of executives synergy allocation between parent and subsidiary corporations from the dual path of "giving the fish" and "teaching to fish"; (4) Based on the research conclusions, this project tries to construct executives synergy decision optimization model between parent and subsidiary corporations aiming to improve enterprise growth of the subsidiaries, and then put forward policy suggestions in two areas from governance structure optimization and governance system completion. In onclusion, considering the importance of Group Company in the economic development of China and the requirements of our new development concept in the long run, this research project has both theoretical urgency and important practical value.
