海外并购中的知识获取对并购方创新能力提升有着重要影响，日益引起学者和业界人士的关注。就企业海外并购中的知识获取而言，现有文献强调了国家之间差异的重要性，但缺乏制度距离视角的探讨。鉴于此，针对制度距离下中国企业从海外被并购方获取知识的问题，本课题拟从影响机制、动态变化规律和对策分析三方面展开研究。首先，本课题综合采用案例研究、问卷调查以及多种统计方法，考察制度距离对企业海外并购中知识获取的直接影响，并检验在这一影响过程中，并购整合的中介效应以及并购方制度资本和吸收能力的调节效应，以明晰制度距离影响企业海外并购中知识获取的内在机制；其次，采用系统动力学，通过模拟仿真揭示制度距离影响企业海外并购中知识获取的动态变化规律；最后，提出指导中国企业海外并购中知识获取的对策。研究结果可以为企业海外并购中的知识获取研究做出理论贡献，所提出的对策有助于促进制度距离下中国企业从海外被并购方有效获取知识。

The knowledge acquisition in overseas merger and acquisition has important influence on the innovation capability improvement of acquiring party, which has got more and more attention of scholars and practitioners. As far as the research of knowledge acquisition in the enterprise’s overseas merger and acquisition, existing literatures emphasize the importance of differences between countries, but lack the analysis from the perspective of institutional distance. Based on this, for the problem that Chinese enterprise acquires knowledge from the overseas acquired party under institutional distance, the project conducts research from influence mechanism, dynamic change rule and countermeasure analysis. Firstly, adopting case study, questionnaire survey and several statistical methods, the project analyzes the direct influence of institutional distance on knowledge acquisition in the enterprise’s overseas merger and acquisition, and then explores the mediation effect of merger and acquisition integration, and the moderation effect of institutional capital and absorptive capacity of acquiring party in the influencing process, so as to clarify the internal mechanism of the influence of institutional distance on knowledge acquisition in the enterprise’s overseas merger and acquisition. Secondly, using system dynamics, the project reveals the dynamic change rule of the influence of institutional distance on knowledge acquisition in the enterprise’s overseas merger and acquisition through simulation. Finally, the project puts forward the countermeasures used to guide knowledge acquisition in the overseas merger and acquisition of Chinese enterprise. The results can make theoretical contribution to the research on knowledge acquisition in the enterprise’s overseas merger and acquisition. The countermeasures can promote Chinese enterprise to acquire knowledge effectively from the overseas acquired party under institutional distance.
