公害や薬害、詐害行為などの企業行動に伴って生じる民事上の損害賠償等の請求権と、企業活動の資金調達のための金融上の債権との優先劣後関係について検討を進めた。現行の法制度の下では、民事上の債権は優先債権に劣後して支払われるため十分な補償などがなされないという問題がある。このとき企業の経営者は公害や薬害などの発生を予防するための適切な措置を講じないといった問題が生じる。このような債権の優先劣後関係にともなう企業の不適切な行動の問題などについて、現状の法制度の理解などを進めるとともに、問題解決のための理論的な観点からの検討を進めた。そのために、この問題に対して提示された様々な経済理論上の解決方法の提案について、その既往研究の整理を進めつつ、特に今年度は、公害などの損害賠償の影響によって事実上破綻した企業の実際の事例を取り上げてケーススタディ的な観点での考察も進めた。損害賠償の支払いができないという理由で倒産させてしまうと、十分な被害者の救済がなされなくなることへの対応として、日本では企業を存続させながら、賠償の原資をねん出させるスキームや他企業へ統合して損害賠償を引き継ぐといった手法が、政府などによってしばしば採用されている。このようなスキームと、昨年度、本課題で検討した拡張責任制度(Extended Liability)と呼ばれる貸し手責任を適用した場合との比較を進めた。会社更生法などの倒産手続きが開始された場合に、貸し手の金融機関の債権が強制的に劣後させられる制度設計の下で、実際の破綻企業の破綻時のバランスシートなどをもとに、どのような手続きがなされうるかを検討しながら、それを予想する金融機関の行動などを検討しつつ、上記のスキームとの比較を進めた。
