项目摘要

前年度では、定時株主総会で提出される監査人選任議案に対する議決権行使が、当該議案の内容を決定する監査役会の会計専門性や当該議案において後任の監査人候補となっている監査事務所の規模によって異なるのか、実証分析を行った。その結果、監査役会の会計専門性は影響を及ぼさない一方、監査事務所の規模については、大手監査事務所の場合、反対票が少ないことを発見した。監査事務所の規模が議決権行使を左右する要因となっていた理由として、監査事務所の評判の可能性を指摘した。本年度は監査事務所の評判が監査人の選任過程に及ぼす影響をより直接的に検証するため、実証分析に適したシチュエーションの検討とデータベースの構築を行った。日本では、各監査事務所が実施した監査業務に問題がある場合、公認会計士・監査審査会が当該監査事務所に対する行政処分を金融庁に勧告する。この情報はホームページ上で一般に公開され、勧告の対象となった監査事務所の評判は低下するものと考えられる。そこで、行政処分勧告の有無により監査事務所の評判の高低を識別することとし、監査人の選任過程（具体的には、監査人選任議案に対する議決権行使）への影響を本年度は分析することとした。次に、上記の研究を遂行するため、日経メディアマーケティング株式会社が提供する「日経NEEDS 企業基本データ　株主総会関連データ」より、2018年から2021年に実施された株主総会のうち監査人選任議案が提出されたサンプルを抽出し、株式会社アイ・エヌ情報センターが提供する企業情報データベース「eol」より株主総会の招集通知を取得し、データ補完を手作業で行った。本年度の研究課題は、交付申請書に記載した「研究の目的」を遂行する中で生じたものであり、前年度までの発見事項をより頑健なものにするための研究に位置づけられる。
