项目摘要

本研究では、ステークホルダーが合併にどのように影響を与えたかについて、はじめにステークホルダーの構造上の特徴（例えば取引先や取引銀行が共通しているといった場合や親子関係があり共通の取引銀行があるといった複合的な関係に特に着目する）が1998年までの合併にどのように影響していたかを分析し、モデル化したのちに、次にその意義について合併プロセスの違いに着目して深堀するととともに今日の多様なM&Aに適用して分析を拡張する。初年度は、1998年までの合併の構造の影響に関する分析までを終了し、論文投稿を終えた。この研究の中で合併後の総資産回転率やROAに対し、資本関係や共通取引銀行など一つの機能による関係（単独の関係）だけでなく、取引先や取引銀行など複数のステークホルダーからの情報（複合情報）や、親会社が資本関係を持ち取引関係を持つなど複数の組み合わさった関係（複合関係）についても変数に加えて、階層的重回帰分析を行い、これらの変数について有意な結果を得た。ただ合併企業のステークホルダーの影響が当初考えていたポジティブなものだけではなく、ネガティブなものも出てきたこと、合併プロセスによってもその影響が異なると考えたことから、合併プロセスに分解して、その影響を検証することにした。特にステークホルダーの情報やコミットメントが合併にどのように影響するかに着目してアンケート調査を行った。この結果は学会で報告したが、論文化はまだ未着手である。その他、役員に関する分析はまだ未着手である。
