最近、日本企業が海外の証券市場で資金調達を行う例も見られるようになった。海外市場において証券が発行される場合、外国法が準拠法となるため、日本の法律とは異なった法律効果が生じることがある。逆に、外国企業が日本の市場において証券発行をする場合には、国内企業の発行する証券とは異なる規制がなされている場合がある。このように、国内外の企業が証券発行による資金調達を行う場合、法規制上の衝突・矛盾が存在している。本研究は、主として先進的な研究の行われているアメリカ法制を参考にしつつ、国際的な証券取引を円滑に行うための望ましい法規制のあり方について一定の提言をすることを目的とする。以下では、二年目の調査・研究実績を報告する。前年度に引き続き、国内外の文献・資料の収集を行い、収集された資料を分析した。研究の内容としては、前年度に得られた一般的な知見にもとづき、さらに欧米各国で行われている共通目論見書の内容分析を行っている。すなわち、米・英・加三国における国際的な証券発行については、現在、最低限満たすべき基準を定めた相互承認方式(resprocal approach)が行われているが、さらに各国共通の基準を定めようとする共通目論見書方式(common-prospectas approach)が提案されるに至っている。日本は当面この対象から外れているが、わが国の証券市場の規模からいっても、この共通目論見書を取り入れることには大きな関心がある。これらの具体的な有価証券の募集方式についての検討を現在も継続中である。この研究の成果は、近い将来に国内の定期刊行物に公表し、わが国の今後の研究発展に役立てるつもりである。
