The Legal Theory of Syndicated Loans in the Primary Market, Collective Settlement and Applicable Law of Credit in International Finance Contracts

1.本文主要进行了两个方面的比较研究：英美判例与日本法律的比较，以及LMA文献与JSLA文献的比较。这些研究表明：第一，日本银团贷款的做法是本地化和驯化。其次，日本法律中的各种义务没有明确规定。第三，日本法律规定的标准文件不利于全球化交易。基于上述研究和发现，建议修改一些典型的日语合同示范条款，以充分定义和排除银行的责任。

1. Two comparative studies are conducted : Comparison of English and American court cases and Japanese law, and comparison of LMA documentation and JSLA documentation. These studies demonstrate the following : First, Japanese syndicated loan practices are localized and domesticated. Second, various duties in Japanese law are not clearly defined. Third, model documentation governed by Japanese law is not good for the globalized transactions.2. Based upon the studies and findings above, suggestions are made to modify some model contract clauses typically found in Japanese to sufficiently define and exclude banks' duties.
