アメリカ社会法の特色の一つに、州が会社法を制定する権限を有している事実がある。その端緒は、イギリスによるアメリカの植民が、会社形態によって切り開かれた事実にまで遡りうる。会社植民地の伝統の影響力は、社会契約的な発想を強化し、植民地時代から憲法・議会制度が指向される契機となったが、そのようにして発達した自治的な政治体制のなかで、会社設立の特許状は、通常それぞれの植民地の総督、領主または議会が付与するものとされた。したがって独立に伴い、会社設立特許状を付与する権限が各邦の議会にあることは自明とされた。この自明の体制がもたらす問題は、当時においても全く懸念されなかったわけではない。合衆国憲法制定に際しては、連邦議会が会社設立権限を有すると明示する提案がなされていた。また、合衆国銀行の設立を巡る政争のなかで反中央集権、反独占を標ぼうする合衆国銀行反対派は、憲法は連邦議会に会社設立権限を与えられていないと主張したが連邦最高裁判所は、その権限は黙示的に与えられていると判示した。しかしながら、第二次合衆国銀行が結局は政治的闘争に破れ去る状況の中で、連邦議会の会社設立権限は控え目にしか行使されない体制が、確立されていった。アメリカ独立後の100年間は、会社制度に対する反独占の立場からの感情的な拒絶を、現実的な受容が圧倒していく歴史であった。この矛盾とそれがもたらす混乱の中で、準則主義による一般会社設立法の考え方が急浮上し、定着した。その段階でアメリカは南北戦争後の鉱工業の急速な成長期を迎えたが、それは同時に会社間の激しい競争が独占を生み出す過程でもあった。各州は、会社法の緩和化により大会社の設立を自州に勧誘する政策に走った。連邦政府による独占禁止法・証券取引法規制の発達は、会社法の緩和化競争の弊害により促進された。しかしそのことは、企業法規制の過剰な複雑化をもたらす一因ともなった。
