项目摘要

第1には、昨年度に引き続き、不公正な会社組織行為の中でも最も深刻な利害対立を生じやすい、違法な募集株式の発行等の効力の問題に取り組み、年度の初めに研究会で報告を行った。第2には、新株予約権の発行・無償割当ての問題に取り組んだ。新株予約権の発行・無償割当てに関しては、募集株式の発行等・株式無償割当てにほぼ準じた法的規制が課されており、法的な問題もほぼパラレルに論じることができる。平成13年11月改正により新株予約権の制度が整備されて以来、実務において活用が大いに進み、その結果、著しく不公正ではないかと問われるケースも増えてきた。とりわけ、買収防衛策としてどのような態様の新株予約権であれば用いることが法的に許されるかに関して、世間の耳目を集める裁判例が相次いだことから、実務家や研究者による議論が沸騰した。そこで、それらの中でも最も議論が集中した、差別的行使条件・差別的取得条項付新株予約権無償割当てについて検討することとした。具体的には、平成19年のブルドックソース事件を取り上げて、買収の攻防戦の概要を分析し、東京地裁決定、東京高裁決定および最高裁決定により示された法解釈を検討した。それとともに、日本における買収ルールのこれまでの変遷を辿り、最高裁決定が買収ルールに及ぼす影響について考察し、今後進むべき方向について私見を述べた。研究成果は論文として公表した。研究会における報告をも近々行う予定である。

In addition, the Supreme People's Court has decided to review the impact of the purchase of goods and services in Japan, and to discuss the direction of future development. The research results are listed in the paper. The study will be conducted in the near future.
