1980年代、わが国の半導体産業は、汎用製品であるメモリー分野において、世界市場で優位な競争ポジションを占めてきた。しかし、1990年代になって、インテルなどの米国メーカーが、高付加価値商品であるMPUを中心とした商品で競争力を回復し、汎用メモリーでも、韓国などのNIES諸国の台頭が激しい。これらの競争環境の変化に一企業単独で対処することは、ビジネスリスクが極めて高く、同時に日米貿易交渉などの政治的要因もあって、わが国の半導体産業は、内外の様々な企業と技術提携、共同開発、JV、M&Aなどの様々な形態の企業提携を通じて、高付加価値商品と汎用品の両面での競争力を確保しようとしている。本研究では、外国企業との提携について、わが国の半導体メーカーと提携相手の外国企業に面接調査を実施したが、いずれの場合も、自社単独事業のような一元的な管理統制ができず、どのような情報、ノウハウを互いに交換するのか、プロテクトするのかに試行錯誤していることが、確認された。特に、米国企業との提携の場合、相互の信頼関係の確立の重要さを指摘するが、様々な情報の獲得、学習の方法については、製造現場、研究開発チーム、経営陣などの職階、職能、個人によって考え方が、各社共、異なり模索中であった。本研究は、戦略的提携を企業が新たな経営資源(知識)の獲得と創造をはかるための仕組みと捉え、提携にまつわる期待や不安は、情報のもつ特性と資本のもつ特性、そして両者の相剋から生じ、「情報の論理」と「資本の論理」と表現するが、前者については、かなりのデータを蓄積することができた。今後、所有権あるいは支配権に由来する様々な権限や、それに基づく企業の行動や発言力、資本比率に代表される、「資本の論理」について、企業グループのあり方と関連して検討を続けたい。
