平成17年度に日本法における株主間の決議権配分に関する法規制の変遷を検討したことに引き続いて、アメリカ法における株主間の議決権配分に関する法規制の変遷を検討した。特に、1980年代に、それ以前と比べて多くの上場会社が、一株一議決権原則とは異なる議決権配分を採用するに至った背景事情とSECによる規制の合理性を検討した。その結果、株主間の議決権配分に関する法規制を分析する視点として、(1)企業統治における議決権の役割・機能、(2)議決権配分を株主・投資家による投資判断に委ねることの妥当性、という2つが有用であることが判明した。(1)との関係では、一株一議決権原則が上場会社にとって、事実上、強行法規となった20世紀初頭のアメリカ法を検討した。その結果、一株一議決権則の強行法規化には、アメリカ社会に根強く存在する、富と経済力の集中、特に金融機関による産業界支配に対する懸念の存在が強く影響しているのではないかとの結論に至った。以上の成果は、「株主間の議決権配分(二)-一株一議決権原則の機能と限界」法学協会雑誌123巻7号27-112頁(2006年)として刊行することができた。「証券取引所と上場企業の管理」江頭憲治郎先生還暦記念『企業法の理論・下巻』(2007年・商事法務)は、株主間の議決権配分にとどまらず、企業統治に関する諸問題について、証券取引所の役割に期待が寄せられつつあることを受けて、証券取引所が企業統治に関する諸問題の規制主体として、有効に機能する前提条件を検討したものである。そこでは、証券取引所による規制が有効に機能するか否かは、(1)証券取引所を取り巻く競争環境、(2)問題に対する証券取引所の専門知識、(3)証券取引所による規制に影響力を行使できる利害関係人の範囲、という3つの条件によって決まる可能性があることを論証した。
