Study of the legal aspects and function of the equity market price-mainly in the corporate and security laws

我们认为，股票市场价格本身是股票价值的内容，股票价值作为独立于公司价值的财产，但基本上是建立在公司价值之上的，因此，市场价格应成为市场中各类主体的公平调节点，在市场价格的公平功能可能因利益冲突或其他原因而受到抑制的情况下，对于违法行为，我们认为，坚持背离市场价格的主体应当承担相对较重的举证责任，而坚持市场价格合法性的主体则应当被要求尽可能排除可疑因素。

We have come to believe the effectiveness ot the explanation that the equity market price is in itself the content of the stock value as the independent property from,while basically founded on,the corporate value,and therefore the market price should be the the fair adjustment point for all kinds of entities in the market.In the case that the fair function of the market price might be inhibited by the reason of conflicts of interests or illegal actions,we have come to believe it appropiate that the entity who insists of departure from the market price should be comparatively heavy burdened in proof of doing so,and the other hand the entitiy who insists of the ligitimacy of the market price should be asked for getting rid of the dubious factors as much as he/she could.
