项目摘要

本研究は，ベンチャー企業による「種類株式」（議決権や優先的な配当権などのさまざまな権利が付与された株式）の発行と，ベンチャーキャピタル（VC）などの投資家との間における関係性について，実証的に明らかにすることを目的としている。具体的には，各ベンチャー企業の登記簿をもとに，配当に関する優先権や，企業経営に参画する議決権，取締役会への選解任権などの各種権利を分類することにより，対象を細分化したうえで，企業への投資促進へとつながっているかを検証するものである。令和4年度の研究実施にあたっては，令和3年度スケジュールの変更に伴い，「理論分析」「実証分析（データ収集を含む）」「研究報告」の3点を並行して進めてきたが，「実証分析（データ収集を含む）」については，遅延している状況にある。まず，文献を中心とした先行研究を紐解く「理論分析」については，追加資料を含めて，いっそう深化させてきた。具体的には，本研究の対象である「種類株式」に限らず，エクイティファイナンス全般を取り上げ，「株主間契約」やM&Aとの関係性など，分析にあたって考慮すべきことが抽出されてきた。また，上場における価格形成などの諸要件によって，投資側のインセンティブが異なり，それが，「種類株式」の設計へと影響を及ぼすことから，ベンチャー投資全体を包括的に捉える必要性についても，明らかとなった。そして，これらを踏まえて，予備的「研究報告」も実施したところである。以上のような，これまでの研究成果は，「種類株式」の活用にあたる理論的な位置づけをより強固にして，VCなどの投資家にとって有効な手段であることを示唆するものであり，実務的にも有益かつ重要な知見であることが窺われる。しかしながら，その確かさを論じるためには，実証的な検証が必要不可欠であり，引き続き，完成につながるよう進めていく次第である。
