项目摘要

本研究の目的は、判断能力不十分者（意思無能力者、未成年者、成年被後見人、被保佐人、被補助人および任意後見契約が発効した場合の本人を総称して、以下、「判断能力不十分者」という）の会社法上の行為について、会社法と民法の最新の議論状況を踏まえつつ、両者の整合的な解釈を構築するために、包括的・体系的な検討を行うことにある。当初の計画では、株主の地位の得喪と議決権行使の観点から日本法の議論状況を整理する予定であったが、本年度は、商人の営業能力に焦点を当てて日本法の検討を行うこととした。商人の営業能力とは商法上の商人が単独で完全な効力をもって営業活動を行うことができる能力をいい、未成年者に対する営業許可と未成年者登記、後見人による未成年者・成年被後見人の代理営業と後見人登記、被保佐人による支配人の選任に必要な手続等がここでの論点となる。このように商法と民法が交錯する領域について併せて検討することで、より包括的・体系的に本研究を遂行することが可能になると考える。また、高齢者人口が増えるにつれて個人商人の高齢化も進むことが予想されるため、現代の社会状況に照らして判断能力不十分者の営業能力について検討を行うことの意義は大きいといえる。商人の営業能力に関する研究成果は、令和5年度中に所属研究機関の紀要で発表する予定である。本年度はこのほか、報告者が参加した研究会において、①「取締役等の被後見人条項の削除について」、②「社員の監査法人脱退時の持分払戻しと監査法人の商人性（東京地判令和3年6月24日金判1626号34頁）」、③公認会計士制度につき「今後検討すべき論点（フランス）」と題する報告等を行った。
