本课题立足我国转型与力争复兴的制度及现实情境，结合政治经济学、新制度经济学、社会学、公司财务与治理学等学科理论，重点从格兰诺维特氏经济社会学中的嵌入理论出发，在理论分析与实证检验两个层面，阐释和考察我国公司治理与政府行为之间的关系。课题拟以国家战略与政府管制两类政府行为为切入点，以公司治理与政府行为分别从微观及宏观层面共同服务于社会共识及长远目标为建构基础，提出两者的嵌入路径，并试图解释说明，我国公司治理之中看似与西方经典论述不一致之处，相当部分实则内含价值及经济理性。同时，本课题亦注意研究并揭示嵌入的负效应。研究命题分为三个模块：1、公司治理与政府行为是否存在嵌入基础；2、两者的嵌入路径何在；3、该嵌入有何负效应。从嵌入性视角研究公司治理与政府行为的关系，在理论上可以进一步推进我国公司治理的研究范式，更客观地评价和指导我国公司治理实践，更好地构建符合我国“有为政府”情境下的公司治理理论。

Based on the institutional background that China is sparing no effort to transit and revive, our project focuses on Granovetter’s embeddedness theory and reinterprets the relationship between corporate governance and government behaviors theoretically and practically. It also refers to political economics, new institutional economics, sociology, corporate finance and governance theories. The project involves national strategy and government interference as two entry points because both of them serve for social consensus and long-term goals from micro-level and macro-level respectively. And that is the constructive basis of our project. Then, we attempt to seek out the embedded approaches of corporate governance and government behaviors and explain the economic rationality in Chinese corporate governance which is not consistent with western classical discussions seemingly and has internal value mostly. In addition, the project cares about the negative effects of embeddedness.The research proposition is divided into three parts: 1. whether corporate governance and government behaviors have embeddedness basis; 2. how do corporate governance and government behaviors embed; 3. what negative effects do the embeddedness of corporate governance and government behaviors have. Studying the relationship of corporate governance and government behaviors from the embedded perspective will improve corporate governance paradigm of our country theoretically, evaluate and guide practice more objectively, and construct a corporate governance theory which accords with China’s ‘effective government’ backgrounds better.
