项目摘要

本研究では、中小企業の親族外承継における支援機関の役割を後継経営者の能力形成のアプローチから明らかにすることを目的としている。先行研究では、親族内承継を前提とした後継経営者に関する研究が多く、かつ社内の取組みを前提とした観点から考察が行われている。しかし、役員・従業員承継やM&A等の社外への引継ぎといった親族外承継へのニーズの高まりにもかかわらず、外部の支援機関が親族外承継による後継経営者の能力形成に果たす役割については先行研究では明らかにされていない。そこで本研究では、外部の支援機関が親族外承継による後継経営者の能力形成にあたりどのような役割を果たしうるのかについて考察することで後継経営者の能力形成プロセスについて体系的整理を行う。2020年度は、先行研究の整理や過去に島根県事業承継実態調査アドバイザーとして携わった島根県内企業を対象とした事業承継に関するアンケート調査の考察を行いつつ、行政機関、専門支援機関、地域金融機関、M&Aプラットフォーマーへのインタビュー調査を実施した。2021年度は、学会発表等を通して研究の進捗状況を確認しつつ、引き続き行政機関、専門支援機関、地域金融機関等の親族外承継支援に関する情報収集に努めた。2022年度は、関連する先行研究をフォローしつつ、行政機関、専門支援機関、地域金融機関及びそれらの支援を得た中小企業へのインタビュー調査を継続した。その結果、親族外承継による後継者の能力形成にあたっては、親族内承継と比較して社内でのコミュニケーション能力の形成や経営者としての覚悟を持てるかどうかがカギとなること、M&A・事業再生による親族外への事業引継ぎのケースでは、地域金融機関が積極的役割を果たすケースが多くみられることがわかった。一方で、各支援機関間の連携や、事業承継の必要性及び各支援機関の支援策の中小企業への周知の面で課題があることもわかった。
