1.アメリカのprepackaged reorganization(以下、"PR"と呼ぶ)の現状(1)PRが法律上の裏付け(連邦倒産法1102条(b)(1)、1121条(a)、1126条(b)など)を得ている背景には、再建手続申立前の交渉過程と申立後の交渉の基礎は同じである(もちろん、後述の情報開示など一定の前提要件はある)という、立法者の明確な政策的判断がある。(2)PRがブームになったのは、アメリカにおいて企業の借り換え需要が大きかった1991年から92年であったが、その後も安定した数(ウォール・ストリート・ジャーナルに掲載のものだけでも月に2・3件)の利用がある。(3)PRの多くは持株会社の再建に際して用いられており、事業会社にはあまり利用されていない。これは、PRが主として資本構成の変更による企業の再建を図るにとどまり、事業会社の経営体質の改善などをはかるものではない、ということを示している。2.検討(1)上記のPRの現状の分析により、現在典型的なPRといわれているものは、さしあたり資本構成の変更のみによって再建ができる(換言すれば、事業内容には問題のない)企業にその適用範囲が限られており、事業会社の再建手続にそのまま持ち込めるものではない。しかし、PRに関して議論されている再建手続申立前の情報開示の程度は、法的再建手続における私的交渉過程の利用という観点からは、常に注目されるべき視点である。(2)企業の倒産前後においては、例外なく多くの法律が複雑に絡み合って適用されるが、たとえば倒産法・税法は私的倒産処理を促進する立場をとっているのに、証券取引関係法の規制がその障害となっているというようなことが起こりうる。この辺りを細かく分析して、調和のとれた制度の可能性を探ることが今後の課題である。
