项目摘要

22年度前半は、予定していた海外調査等ができるようになることを期待したが、先の見えない状況が続いたことから、研究内容を海外文献研究を中心行う方針に少しずつ転換した。文献研究の幅を広げるため、アメリカを中心としつつ、欧州議会によるEU倒産指令（2019年）に関する文献資料を広く収集して、研究を進めた。また、わが国では、法的整理だけでなく、準則型の私的整理においても、対象債権者をどの範囲に絞るか、債権者間の平等の観点から「債権者等の組分け」（以下「組分け」ということがある）のあり方をどのように考えるべきか、などの観点から、組分けをめぐる新しい議論の展開がみられ、これも研究対象とした。アメリカの事業再建手続では、従来から、債権者等の組分けが恣意的に行われ、事業再生のための交渉のバランスが歪められる恐れがある点が指摘されてきた。これを受けて、EU指令を受けたヨーロッパの国々では、組分け基準の客観化に向けて、独自の発展の兆しがみられ、組分けの光と影を分析する際の重要な視点が得られた。一方で、わが国では、準則型私的整理の発展形態として、＜債権者の多数決+裁判所の認可＞により再生計画を発効させる制度の可能性が議論されている。その議論をフォローするなかで、そこでも債権者等の組分けからのアプローチ（たとえば、会社法上、社債権者集会で多数決による社債の処遇が認められるのは、社債という権利の合理的な「組分け」が可能であるからであるが、新制度はそういえるか、など）が意義をもつのではないかという問題意識を得ることができた。
