1 倒産企業への投資に関する内外の実務および研究の状況の整理(1)外国の状況文献調査および英国での現地調査により、次の知見を得た。米国では、少数の特別な投資家が倒産企業への投資によって莫大な利益を得るという一昔前の状況から、大規模の投資銀行系のファンドなどが競争しあう、より洗練された投資環境が整備されつつある。他方、ヨーロッパでは、米国系のファンドによる倒産企業への投資活動が日常的になってきてはいるが、このような投資活動への社会的な拒否反応もないではなく(とくに、独仏)、あわせて、法制の不備や専門家の育成の遅れなどもみられる。(2)わが国の状況わが国では、投資事例が重なるにつれ、わが国独自の投資スタイルが形成されてきている。その例としては、(1)わが国の倒産手続では、裁判所、管財人等手続機関の倒産手続への関与が強く、時として、その存在が、投資家側からすれば、円滑な投資を阻害する要因にもなること、(2)わが国では、企業再建プロセスで雇用関係の維持が重視されること、(3)私的整理における投資には、簿外債務の存在など、障害が多いこと、などがあげられる。2 わが国における法的問題点と法的規律の在り方(1)倒産法に関する問題点スポンサー選定過程の透明化、債権者の手続的地位の弱さ、などが問題点としてあげられる。これらの問題については、さしあたり現在進行中の会社更生法改正の論点と重なる。(2)その他の法制上の問題点投資ファンドの組織形態、租税(とくに外資系企業にとって)、アドバイサリー業務等と投資業務との間の利益相反関係などが、問題点として存在する。
