不等な経済活動・企業活動が増加し、それに対する社会一般の評価も明らかに変化してきている今日の状況にあって、さまざまな刑罰法規が全体として適切な規制を実現していると言えるのか。本研究は、刑事法による総合的な規制のあり方、言わば、刑事法の企業活動に対する総合調整機能はどうあるべきであるのかを検討することを目的とした。この目的のために、(1)現在の企業のあり方についての議論を検討した上で、現在の民事法・行政法的規制の現状を認識し、そのあり方を検討する、(2)既存の刑罰法規が現実にどのように活用されているのかを検討し、そこに生じている問題点を分析する、そして、(3)本研究の対象となる刑罰法規-刑法、商法、証券取引法、独占禁止法、不正競争防止法、税法等-のさまざまな犯罪を類型化するという作業を試みた。その結果、(イ)民事法的・行政法的規制が類型的に不十分であるとみられる場合に、刑罰法規が適用される例が多いという傾向が存在していること、(ロ)刑罰法規相互の間で、その解釈に影響を及ぼしている例がみられる(贈賄のために支出された会社の金銭は、その行為が会社の利益のためになされたものであっても、背任罪における財産上の損害を構成するという解釈等)ことを指摘することができる。(イ)は、ある意味で刑罰という制裁の補充性にかなっていると言える。しかし一方で、このような場合には刑罰法規の解釈が拡張的になされる傾向にあるが、これは妥当か、(ロ)は、それ自体は、総合的な刑事法規制を達する端緒とはなりうるが、現実に、各刑罰法規の性質や、相互の関係に合致しているのか、とい問題が存在していると言えよう。そして、(ハ)さまざまな犯罪の類型化にはいくつかの方法が考えられるが、それぞれに長所・短所があることを認識した。今後は、企業のあり方との関連でさらに議論を深める努力をする所存である。
