契約交渉過程において不適切な情報が提供された結果、情報を提供された相手方が想定していなかった契約が成立し、その契約に拘束されてしまうことがある。その際に、契約関係からの離脱を認める方向での解決は検討されているが、契約関係を維持した上で相手方が望まなかった契約の適正化を図る方向での解決の検討は不十分である。相手方が想定していた契約から生じる効果を導き出すことができないのか、その場合にはどのような制度が用いられるのか、統一的な効果を導くことは可能なのか。本年度の研究ではこれらの問題を明らかにすることを目的とした。情報提供義務概念に着目し、不適切な言動の相手方が望まなかった契約の適正化の方法を模索した。その結果、(1)情報提供義務違反の態様(誤情報提供・情報提供懈怠)、(2)提供されるべき情報の対象(価格、契約の目的、契約の周辺事情)、(3)契約適正化の方法(損害賠償・減額、契約履行、条項排除)という視点がドイツ法から得られた。契約適正化の方法の1つである金銭的調整(損害賠償・減額)について、ドイツ法においては瑕疵担保責任における減額の規定を類推適用することにより、契約関係の維持が求められている事例においても適切な解決がなされていることが明らかになった。その際に単純に客観的な価値との比較によって効果を導くのではなく、情報提供の相手方が期待した内容を考慮した上で効果を導き出す学説が有力であることも明らかになった。また、詐欺による不法行為、契約締結上の過失、瑕疵担保責任、契約解釈、保証責任等の諸制度を検討し、それらの根底に情報提供義務が存在し、それが各制度を支え、あるいは補完しているという視点を提示した。これは上記諸制度の全体構造を把握するための独創的で有益な視点であるといえる。本年度の研究の成果は平成19年3月に「一橋法学」に投稿し、現在審査中である。

The system of fraud, fault in contract conclusion, defect warranty liability, contract settlement, warranty liability, etc. is discussed, and the basic information provision obligation exists, and the system is supported, and the point of view is suggested. The whole structure of the system is grasped and the original is beneficial. The results of this year's research were submitted to "Hitotsubashi Law" in March 2019, and are currently under review.
