项目摘要

本研究に着手した頃と比べると、中間持株会社を設立する持株会社が増えつつある。その理由を探ると、各社さまざまな起因が考えられるが、そこにいくつかの共通点が見られる。例えば、事業子会社の業務効率化、ガバナンス強化，組織マネジメントの実効化などである。本研究は、純粋持株会社を維持しながら中間持株会社がなぜ増加するのかという主たるリサーチクエスチョンから、具体的な課題として、①中間持株会社がなぜ生起し、いかに持続的なものになるのか、②中間持株会社が変異する中でいかに正統化されるのか、③有効な純粋持株会社は中間持株会社をどうコントロールするのか、を設定して研究に取り組んできた。そして、関連する研究のレビューをベースに、事例の比較研究とインタビュー・データによるディスコース分析によって、各課題の探求を図った。その結果、中間持株会社は純粋持株会社によるグループ経営の最適化や効率化を進めるため、という見方の妥当性が次第に明らかになった。また、正統化について制度化のロジックを援用すると、経済性のロジックが有力であると想定されることになった。さらに中間持株会社のコントロールは、グループ経営としての位置づけが重要であり、純粋持株会社（親会社）が認識するグループ経営のアイデンティティを事業子会社に浸透・強化させるアイデンティフィケーション次第であることが確証されつつある。以上のように研究はある程度順調に進みその成果も結実しつつあるが、純粋持株会社と中間持株会社の関係性、とりわけ持株会社の有する求心力（規制）と遠心力（自由）のバランスのあり方については不明な点が多く残っている。自由と規律のバランス問題は、組織における二項対立や二重性の問題と相通じるところがあることから、そうした観点の研究成果を中間持株会社の分析に活かすことが今後の研究をより豊かにするために必要かと思われる。
